Acceptance of Terms
By accessing or using the Arclight platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a company or organisation, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, do not use the Service.

Description of Service

Arclight provides an AI-powered supply chain intelligence platform that enables procurement, operations, and logistics teams to monitor supplier networks, receive predictive risk alerts, and make data-driven decisions. The Service includes the Arclight web application, API, integrations, and any related documentation.

Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your login credentials

  • All activity that occurs under your account

  • Notifying us immediately of any unauthorised access at security@arclight.io

Arclight reserves the right to suspend or terminate accounts that provide false information or violate these Terms.

Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws

  • Reverse engineer, decompile, or attempt to extract the source code of the platform

  • Introduce viruses, malware, or other harmful code into the Service

  • Scrape, copy, or republish any part of the Service without written permission

  • Use the Service to store or transmit content that is defamatory, obscene, or infringes third-party intellectual property

  • Attempt to gain unauthorised access to any part of the Service or its infrastructure

  • Resell, sublicense, or transfer your access to any third party

Subscription and Payment

Arclight offers subscription plans billed monthly or annually. By subscribing:

  • You authorise us to charge your payment method on a recurring basis

  • Fees are non-refundable except where required by law or stated in our refund policy

  • Price changes will be communicated with at least 30 days' notice

  • Failure to pay may result in suspension or termination of your account

All prices are stated in US dollars unless otherwise indicated. You are responsible for any applicable taxes.

Free Trials and Pilots

Where Arclight offers a free trial or pilot program, it will be subject to the terms communicated at sign-up. At the end of the trial period, continued use of the Service requires a paid subscription. Arclight reserves the right to modify or terminate trial offers at any time.

Intellectual Property

The Arclight platform, including all software, algorithms, design, content, and documentation, is owned by Arclight Technologies, Inc. and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.

You retain ownership of all data you upload to or generate within the Service. By using the Service, you grant Arclight a limited licence to process your data solely to provide the Service to you.

Data and Privacy

Our collection and use of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you agree to our Privacy Policy.

Integrations and Third-Party Services

The Service may connect to third-party tools and platforms (ERP systems, freight providers, data sources). Arclight is not responsible for the availability, accuracy, or conduct of third-party services. Your use of any third-party integration is subject to that provider's own terms and policies.

Confidentiality

Each party agrees to keep the other's confidential information private and not to disclose it to third parties without prior written consent, except as required by law. This obligation survives termination of the agreement.

Disclaimers

The Service is provided "as is" and "as available." Arclight makes no warranties, express or implied, regarding the accuracy, reliability, or completeness of supply chain data, risk predictions, or recommendations generated by the platform. Supply chain intelligence is advisory in nature — Arclight does not guarantee specific business outcomes.

Limitation of Liability

To the maximum extent permitted by law, Arclight shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of revenue, data, or business opportunities. Our total aggregate liability shall not exceed the amount you paid to Arclight in the 12 months preceding the event giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless Arclight and its officers, employees, and agents from any claims, damages, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

Termination

Either party may terminate the agreement at any time. You may cancel your subscription through your account settings. Arclight may suspend or terminate your access immediately if you violate these Terms or if required by law. Upon termination, your right to use the Service ceases and your data will be handled in accordance with our Privacy Policy.

Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts of Delaware.

Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email or via an in-app notice at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
